  1. 茲經(jīng)買(mǎi)賣(mài)雙方同意按照以下條款由買(mǎi)方購(gòu)進(jìn),賣(mài)方售出以下商品: This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and conditions as stipulated hereinafter:

  Claims: within 45 days after the arrival of the goods at the destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim compensation from the Sellers.

  3. 不可抗力:由于不可抗力的緣由發(fā)生在制造、裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣(mài)方延期交貨或不能交貨者,賣(mài)方可免除責(zé)任;在不可抗力發(fā)生后,賣(mài)方須立即電告買(mǎi)方及在14天內(nèi)以空郵方式向買(mǎi)方提供事故發(fā)生的證明文件;在上述情況下,賣(mài)方仍須負(fù)責(zé)采取措施盡快發(fā)貨。

  Force Majeure: The Sellers shall not held responsible for any delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrence mentioned above within fourteen days thereafter. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.

  4. 不可抗力:本合同內(nèi)所述全部或部分貨物,如因不可抗力原因,以致不能履約或不得不延期交貨,賣(mài)方概不負(fù)責(zé)。

  Force Majeure: The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of and force majeure.

  5. 仲裁:凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決,如協(xié)商不能解決,則將分歧提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)行仲裁,仲裁將是終局的,雙方均受其約束,仲裁費(fèi)用由敗訴方承擔(dān)。

  Arbitration: All disputes in connection with the execution

  of this Contract shall be settled through friendly negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party.

  6. 仲裁:在履行本合同中所發(fā)生的或者與合同有關(guān)的一切爭(zhēng)執(zhí),由雙方協(xié)商解決。如果協(xié)商后仍不能解決時(shí),得提請(qǐng)仲裁。仲裁在中國(guó)進(jìn)行,由中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該仲裁委員會(huì)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁裁決為最終決定,對(duì)買(mǎi)賣(mài)雙方都有約束力。除該仲裁委員會(huì)另有決定外,仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。 Arbitration: Any and all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties, failing which they shall be submitted for arbitration. The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding

  upon both Buyer and Seller. Unless otherwise awarded by the said arbitration commission, the arbitration fees shall be borne by the losing party.

  7. 賣(mài)方交貨的義務(wù)以在上述交貨日期前收到買(mǎi)方按第九條的規(guī)定開(kāi)出的信用證或預(yù)付款為條件。如按合同條款運(yùn)輸工具由買(mǎi)方選訂,賣(mài)方將在上述日期將貨物備好。

  However, the seller’s obligation to deliver is conditional upon receipt from the Buyer of a letter of credit or advance payment in accordance with Clause 9 of this Contract days before the time of delivery stipulated hereof. If a carrier is selected and booked by the Buyer itself in accordance with the terms of this Contract, the Seller will have the commodity ready for shipment by such time of delivery.

  Payment: By 100% confirmed, irrevocable, without recourse L/C, in favor of the Seller, available by sight draft, allowing transshipment and partial shipments, valid for negotiation in China until the 15th day after the date of shipment. The Buyer is requested always to quote in the L/C

  the number of this Contract and the names of the commodity in accordance herewith.

  9. 保險(xiǎn):按照中國(guó)人民保險(xiǎn)公司的保險(xiǎn)條款,按發(fā)票金額的110%投保但不包括罷工、x亂和民變險(xiǎn),保至目的口岸為止。如買(mǎi)方要增加保額或保險(xiǎn)范圍,應(yīng)于裝運(yùn)前經(jīng)賣(mài)方同意,因此而增加的保險(xiǎn)費(fèi)由買(mǎi)方負(fù)責(zé)。

  Insurance: For 110% of invoice value, up to the port of destination, as per the insurance clauses of the People’s Insurance Company of China, excluding SRCC Risks. If additional insurance amount or coverage in required, the Buyershall have the consent of the Seller before shipment, and the additional premium thus incurred shall be borne by the Buyer.

  10.包裝:所有在本合同項(xiàng)下出售的貨物將以賣(mài)方認(rèn)為適合于第五條規(guī)定的運(yùn)輸方式的包裝材料包裝。如果對(duì)包裝有其他要求,買(mǎi)方應(yīng)征得賣(mài)方同意并承擔(dān)由此而增加的一切額外費(fèi)用。

  Packing: All the commodities sold thereunder will be packed with packing materials deemed by the Seller suitable for the mode of transportation stipulated in Clause 5 hereof. If additional requirement for packing is needed, the Buyer shall have the consent of the Seller and bear all the extra charges thus incurred.

  Mortgage Contract

  No. J.K.D.20xx—032

  hereinafter referred to as the main contract) signed by (borrower) and Party A Party B is willing to use the property owned or disposable according to laws as mortgage; Through verification, Party A agrees to accept the property mortgage of Party B;

  According to relevant laws and regulations, based on mutual negotiations, Party

  A and Party B make agreement in the following articles:

  Article 1 Collateral of Party B

  Party B uses the property in the List of Collateral (appendix) for mortgage. Party

  B guarantees its ownership or right of disposal according to laws.

  Article 2 Method of Mortgage Guarantee

  1. When the debt stipulated in the main contract is due, the guarantee responsibility of the loan provided by Party A to Party B yet not repaid by Party B is ascertained according to the scope of mortgage guarantee in Article 3 of this contract; before the debt stipulated in the main contract is due, if Party A conducts recourse on the borrower in advance according to the main contract, Party B shall also take the guarantee responsibility with the collateral.

  2. If Party A and Party B (or borrower) make written agreement of extending duration on the debt duration, interest rate, amount and etc. stipulated in the main contract, or Party A makes an adjustment in the interest rate according to the main contract during the debt duration stipulated in the main contract, it is not necessary to

  get consent from Party B or to inform Party B and Party B agrees to all, then the mortgage guarantee responsibility undertaken by Party B shall not be affected.

  Article 3 Scope of Mortgage Guarantee

  The scope of mortgage guarantee includes the entire principal stipulated in the main contract, interest, overdue interest, penalty interest, compound interest, default fine, compensation for loss, all charges to enforce the mortgage right and realize the creditor’s rights (including but not limited to legal costs, arbitration fees, costs of preservation, announcement fees, assessment fees, appraisal charges, auction costs, travel expenses, communication expenses, counsel fees and etc.) and all other payable expenses of the debtor in the main contract.

  Article 4 Custody of Ownership Certificate and Registration

  of the Collateral

  Party B shall deliver ownership certificate of the collateral to Party A on the date of contract signing, and both parties agree that within days after the contract is signed, Party B shall unconditionally assist Party B with relevant mortgage registration procedures. Ownership certificate of the collateral shall be in the custody of Party A during mortgage period.

  Article 5 When there are other mortgage guarantee, pledge guarantee or guarantees in the creditor’s rights of Party A, if Party A gives up or removes other mortgage guarantee and pledge guarantee or dismisses guarantee responsibility of guarantees, Party B shall still take mortgage guarantee responsibility regarding Party

  A according to articles stipulated in this mortgage contract.

  If Party A suspends granting the loan that has not been granted or collects granted loan in advance based on the articles in the main contract, the guarantee responsibility undertaken by Party B according to this contract shall not be affected.

  Article 6 Cost Bearing

  Relevant costs stipulated in this contract such as assessment fees, insurance premium, appraisal charges, registration fees, custody charges and etc.

  Article 7 Custody of the Collateral

  1. During the mortgage period, the collateral shall be in custody of Party B or the entrusted agent of Party B; Party B and the entrusted agent of Party B shall maintain proper custody of the collateral and have the obligation of repair, maintenance and keeping it intact and shall accept the inspection of Party A at any time.

  The mortgage period refers to the period from the day this contract comes into effect to the expiration day of statute of limitations of creditor’s rights stipulated in the Loan Contract.

  2. During the mortgage period, Party B shall not take any actions that will reduce the value of the collateral; if such actions occur, Party A has the right to demand Party B to stop and recover the value of the collateral, or to provide new collateral accepted by Party A within 2 days after Party A informs Party B. Costs resulted from the recovery of the collateral of providing new collateral shall be undertaken by Party B.

  3. Party B shall purchase property insurance for the collateral during the mortgage period, and the first beneficiary of the property insurance shall be Party A. Insurance documents shall be in custody of Party A. During the mortgage period, if losses within the insurance scope of the collateral occur or the value of the collateral is reduced because of the actions of the third party, insurance compensation or compensation for losses shall be used to liquidate the debt stipulated in the main contract in advance or shall be deposited by Party B in the account appointed by Party A, and Party B shall not use during the mortgage period.

  Article 8 During the mortgage period, if the collateral causes environmental pollution or other damages, Party A alone shall take the responsibility.

  Article 9 During the mortgage period, without written consent from Party A, Party B shall not give away, remove, rent, transfer, remortgage or dispose in other ways the collateral stipulated in this contract.

  Article 10 During the mortgage period, with written consent from Party A, payment received from the transfer of the collateral by Party B shall be used to liquidate the mortgaged creditor’s rights of Party A in advance.

  Article 11 In the expiration of the time limit of the main contract, if the borrower cannot liquidate the debt, Party B has the right to discount the collateral or take priority in compensation with the payment from the auction or selling off of the collateral.

  Article 12 Party A has the right to realize the mortgage right through disposal of the collateral in advance, suspend the grant of loan stipulated in the main contract or collect the principal and interest of the granted loan stipulated in the main contract in advance when one of the following circumstances occur:

  1. There are defaults of the articles or agreement stipulated in the main contract made by the borrower;

  2. There are violations of in the agreed responsibility stipulated in Article 4, Article 7, Article 8, Article 9 and Article 10 of this contract or other actions of defau< or Party B fails to fulfill resposibilities stipulated in this contract.

  3. When Party B is a legal person or other organizations, situations that will affect its ability to liquidate debts or lack of good faith in debt liquidation occur such as suspension of business, suspension or annulment of business license, application or

  being applied for bankruptcy, dissolution and etc.

  4. When Party B is a natural person, death without heirs or devisees occurs;

  5. When Party B is a natural person, heirs or devisees of Party B give up the inheritance or bequest and refuse to fulfill the obligation of repaying loan principal and interest;

  6. Other events that will endanger the realization of creditor’s rights of Party A stipulated in the main contract.

  Article 13 Responsibility for Breach of Contract

  1. If Party B violates Article 7 of the contract through reduction in the value of the collateral resulting from the carelessness in the repair and management of the collateral, or actions of Party B directly endanger the collateral and result in the reduction in the value of the collateral, Party A has the right to demand Part B to immediately stop the violating actions towards the mortgage right of Party A, to demand Party B to provide other collateral accepted by Party A, and to dispose the collateral in advance.

  2. If Party B violates Article 9 of the contract and arbitrarily disposes the collateral, the action is not valid; Party A has the right to demand Part B to immediately stop the violating actions towards the mortgage right of Party A, to demand Party B to provide other collateral accepted by Party A;

  3. If Party B conceals the fact that the collateral is involved in co-ownership, disputes, seal-up, impoundment, rent, existing mortgage, legal priority right with lower mortgage right (including but not limited to priority right of construction project payment) or no ownership or disposal right of Party B and etc., Party A has the right to demand Party B to provide other collateral/ pledge property accepted by Party A;

  4. When any of the above circumstances violating the contract occurs, if Party B fails to provide other collateral according to the requirements of Party A, Party B shall pay Party B a default fine amounting to of the loan principal stipulated in the main contract. If economic losses are caused to Party A, Party B shall compensate Party A for all the economic losses.

  Article 14 Payment from Exercise of the Mortgage Right by Party A Shall be Assigned in Priority of the Following Order:

  1. Payment of charges related to the exercise of the mortgage right;

  2. Liquidation of interest payable by the borrower to Party A;

  3. Liquidation of loan principal, default fine (including penalty interest), compensation and etc. payable by the borrower to Party A;;

  4. Payment of other cost.

  Article 15 Delivery

  Except for other agreement, both parties designate the communication method and contact address stipulated in the contract as the basis, and any written notification delivered to the address shall be considered effective arrival. Party B shall promise that if there is any change in the communication method and contact address, Party A fails to notify the other party about the change in the communication method or contact address according to the agreement resulting in this party not receiving the notification from the other party, this party shall undertake corresponding consequences by itself.

  The signing of personnel authorized by Party B or arranged by Party A for come-and-go files, legal papers or relevant notifications shall be regarded as the arrival to Party B, except that Party B explicitly notifies Party A in the written form that the personnel is not entitled to sign the come-and-go files, legal papers or relevant notifications.

  Article 16 Terms of Compulsory Execution

  1. Party A and Party B both confirm that according to relevant laws and regulations, they have specific understanding of the definition, content, procedure and effect of notarization that gives compulsory execution effect, and through conscious consideration, all parties agree to apply to the notarization authority for notarization and give this contract effect of compulsory execution.

  2. Party B promises to accept compulsory execution according to laws when failing to fulfill or completely fulfill obligation of repayment stipulated in the contract; Party B gives up the right of pleadings.

  3. When Party B fails to fulfill relevant obligations stipulated in the contract, Party A has the right to conduct collection and interpellation to Party B through mail delivery, telephone notification, announcement delivery and etc. Party B shall fulfill relevant obligations stipulated in the contract within three days after the collection and interpellation of Party A. If Party B still fails to fulfill relevant obligations stipulated in the contract, Party A has the right to apply to notarization authority for execution certificate.

  4. Agreed items in advance about the verification contents and methods of the notarization authority before the Execution Certificate is issued: if Party B fails to fulfill or completely fulfill guarantee responsibility, Party A provides the notarization authority with evidence of Party B’s failure of fulfillment. Based on the application of Party A, before the Execution Certificate is issued, the notarization authority verifies the fact of Party B’s failure of fulfillment or proper fulfillment of guarantee responsibility through letters or telephones (faxes) according to the contact address or contact telephone stipulated in the contract before.   article 5. interest rate of loan and calculation

  5.1借款利率。本合同項(xiàng)下借款利率根據(jù)國(guó)家有關(guān)規(guī)定,確定利率見(jiàn)36。5 .遇利率調(diào)整時(shí),借款期限在1年(含)以下的,執(zhí)行合同利率,不分段計(jì)息;借款期限在1年以上的,實(shí)行分段計(jì)息,從利率調(diào)整的次年1月1日開(kāi)始,按相應(yīng)利率的檔次執(zhí)行新的利率;如借款人未按約定時(shí)間歸還借款本息或未按合同約定用途使用借款,貸款人將按國(guó)家規(guī)定對(duì)借款人計(jì)收罰息,罰息率見(jiàn)36.6.

  5.1 interest rate of loan: the interest rate under this contract is specified in 36.5 in line with relevant rules. in case of change of interest rate, the interest rate stipulated in the contract shall prevail for loans with a life of less than or equal to one year; for loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. from next jan. 1st following the adjustment of interest rate, the new rate shall prevail. in case the borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this contract, the lender shall be entitled to collect default interest in line with relevant rules. the default interest rate is specified in 36.6.

  5.2遇利率調(diào)整時(shí),實(shí)行分段計(jì)息的,貸款人有權(quán)根據(jù)國(guó)家有關(guān)規(guī)定自行調(diào)整,不另行通知借款人。

  5.2 in case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the borrower.

  第六條 還款方式。

  6.1借款人應(yīng)在貸款人開(kāi)設(shè)帳戶,戶名和帳號(hào)見(jiàn) 36.7 ,并保證在每次還款日前足額存入當(dāng)期應(yīng)還款項(xiàng)的存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的.復(fù)利、罰息、違約金、保費(fèi)、損害賠償金及實(shí)現(xiàn)債權(quán)的費(fèi)用(含律師費(fèi)和訴訟費(fèi))如該帳戶資產(chǎn)不足以歸還到期的貸款本息,貸款人有權(quán)從借款人在中國(guó)工商銀行任何分支機(jī)構(gòu)開(kāi)立的任何帳戶劃收。

  6.1 the borrower should open an account with the lender( the account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. the borrower hereby authorizes the lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditors right (including lawyers fee and court expense)in addition to due principal and interest of loan. in case the asset in this account is not enough for repayment of due principal and interest, the lender shall be entitled to collect from any account opened by the borrower with any branch of icbc.

  6.2貸款人與借款人雙方商定,自貸款發(fā)放次月起,借款人按月歸還貸款本息(一次性還本付息除外),還款期數(shù)及還款方式見(jiàn) 36.8 .

  6.2 the borrower shall repay the principal and interest on a monthly basis (except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the borrower and lender. the repayment tenors and type are specified in 36.8.

  6.3借款期間遇利率調(diào)整,如執(zhí)行本合同5.1條實(shí)行分段計(jì)息的,對(duì)借款期限在1年以上的,應(yīng)從利率調(diào)整的次年1月1日開(kāi)始根據(jù)未償還借款余額和剩余還款期數(shù)進(jìn)行調(diào)整,重新計(jì)算還款金額。

  6.3 in case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next jan. 1st following the adjustment of interest rate.

  6.4借款人提前歸還貸款須經(jīng)貸款人書(shū)面同意,,提前歸還部分的利息仍按本合同約定的利率和該部分實(shí)際使用天數(shù)計(jì)算。

  違反借款合同的責(zé)任:

  1、貸款方的責(zé)任:貸款方不按合同規(guī)定及時(shí)貸款,應(yīng)償付違約金。

  2、借款方的責(zé)任:借款方不按合同規(guī)定歸還貸款的,應(yīng)當(dāng)承擔(dān)違約責(zé)任,并加付利息。借款方不按合同規(guī)定使用政策性貸款的,應(yīng)當(dāng)加付利息;貸款方有權(quán)提前收回一部分或全部貸款。

  民間借款合同的注意事項(xiàng):

  隨著市場(chǎng)經(jīng)濟(jì)的發(fā)展,經(jīng)濟(jì)生活較為寬裕,資金使用效益被受到重視,民間債權(quán)債務(wù)關(guān)系日趨增多。那么,怎樣才能較好的保護(hù)民間債權(quán)債務(wù)關(guān)系的合法有序以及當(dāng)事人的合法權(quán)益呢?我們的處理經(jīng)驗(yàn)是 :

  1.訴訟時(shí)效問(wèn)題。需要注意:借款沒(méi)有約定還款期限的,債權(quán)人可以隨時(shí)提出還款主張,不受兩年訴訟時(shí)效的限制,但提出還款主張后兩年內(nèi)沒(méi)有繼續(xù)主張的,視為超過(guò)訴訟時(shí)效,法律不予支持。

  2.原告主張債權(quán)必須提供書(shū)面借據(jù);無(wú)書(shū)面借據(jù)或無(wú)法提供的,應(yīng)提供必要的事實(shí)根據(jù)或與自己無(wú)利害關(guān)系的兩人以上的證人證言,來(lái)支持自己的主張。欠條或者借條在債務(wù)人之手時(shí)一般將被推定為該債務(wù)已經(jīng)清償。

  3.民間借貸的利率可以高于銀行利率,但最高不得超過(guò)銀行利率的4倍(含利率本數(shù)),但一定要明確約定,沒(méi)有約定利息的,視為無(wú)息借款。約定超出銀行同期利率4倍的,超出部分的利息依法不予保護(hù)。出借人不得將利息計(jì)入本金謀取高利,審理中發(fā)現(xiàn)借款人將利息計(jì)入本金計(jì)算復(fù)利的,只返還本金。

  4.出借人明知是為了進(jìn)行非法活動(dòng)而借款的,典型的例子是賭債,其借貸關(guān)系不予保護(hù)。對(duì)雙方的違法借貸行為,可按照有關(guān)法律予以制裁。

  5.行為人以借款人的名義出具的借據(jù)代其借款,借款人不承認(rèn),行為人又不能證明的,由行為人承擔(dān)民事責(zé)任。如借款系用于夫妻共同生活,則由夫妻雙方共同償還。

  6.合伙經(jīng)營(yíng)期間,個(gè)人以合伙組織的名義借款,用于合伙經(jīng)營(yíng)的,由合伙人共同償還;借款人不能證明借款用于合伙經(jīng)營(yíng)的,由借款人償還。

  7.借款的抵押如果涉及不動(dòng)產(chǎn),要到相關(guān)部門(mén)辦理登記手續(xù),才能對(duì)抗第三人。

  8.債權(quán)文書(shū)如辦理可強(qiáng)制執(zhí)行的公證,則可不經(jīng)法院審理,直接向法院申請(qǐng)強(qiáng)制執(zhí)行。

  9.還款期滿后6個(gè)月內(nèi)必須向擔(dān)保人主張權(quán)利,如過(guò)期則擔(dān)保人一般不承擔(dān)擔(dān)保責(zé)任。

  10.為延長(zhǎng)訴訟時(shí)效可以用郵政特快專(zhuān)遞不斷寄送追款函,郵件回執(zhí)單必須明確注明寄送的內(nèi)容,如要求還款1萬(wàn)元的函、要求擔(dān)保人承擔(dān)擔(dān)保責(zé)任的函。

  (1)乙方為甲方提供的`原文資料永久保密,不得擅自將原文資料及其內(nèi)容透露給第三方,也不得擅自將這些機(jī)密資料用作他途;否則甲方保留其訴諸法律的權(quán)利

  (2)乙方保證譯文語(yǔ)句流暢,符合成文語(yǔ)言的語(yǔ)法規(guī)則和習(xí)慣;并盡最大的可能使譯文與原文含義一致。

  十、免責(zé)條款:乙方在本合同下對(duì)下列事件不負(fù)任何直接或連帶責(zé)任:

  (1)因甲方侵犯第三方版權(quán)/專(zhuān)利權(quán)而引起的第三方的一切及任何損失;

  (正常損耗及房屋結(jié)構(gòu)上的潛在缺陷除外;返還的租賃房屋應(yīng)當(dāng)符合租賃房屋性質(zhì)使用后的狀態(tài)),乙方如要求續(xù)租,在同等條件下享有優(yōu)先續(xù)租權(quán),須在本租約期滿前一個(gè)月向甲方提出書(shū)面申請(qǐng),租金和租期雙方另行協(xié)商。

  On expiry of this lease, Party A has the right to take back the leased property with furniture and electrical appliances in full, and Party B must deliver the leased property on the date of expiry (fair wear and tear, structural and inherent defeats excepted).   三、租金:

  四、 押金:

  4.1 本租約簽訂之日,乙方應(yīng)向甲方繳付壹個(gè)月租金額的租賃押金計(jì)人民幣

  If Party B breaks any part of this contract, such as not paying the rent punctually, or causing additional expenses to Party A, Party A has the right to retain part of or all of

  the deposit as compensation according to its actual losses. If the said deposit is insufficient to cover Party A’s costs, Party A has the right to ask for compensation if any.

  4.3 發(fā)生4.2條款情況,押金不足抵付時(shí),乙方必須按接到甲方付款通知后 十日內(nèi)補(bǔ)足。

  If Clause 4.2 is brought into effect, and the said deposit is insufficient to cover Party A’s costs, Party B should pay the extra amount to Party A within ten days of receipt of Party A’s invoice notice.

  4.4 押金以人民幣支付。甲方收到押金后付給乙方全額收據(jù)。

  The deposit is payable in RMB. Party A should issue a receipt to Party B after receiving the deposit.

  五、 其它費(fèi)用:

  六、 甲方的責(zé)任:

  行及時(shí)維修并承擔(dān)費(fèi)用。

  To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.

  6.3 督促物業(yè)公司提供充分的保安、消防工作及安靜清潔的居住環(huán)境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.

  6.4 督促管理公司向乙方提供所應(yīng)提供的服務(wù),如冷水、熱水、電的供應(yīng)及

  各種設(shè)備(包括空調(diào))的正常工作,并提供公共區(qū)域和公共設(shè)施的開(kāi)放,如健身房、兒童房和其他娛樂(lè)場(chǎng)所。督促公共區(qū)域和公共設(shè)施的清潔;公共區(qū)域的照明并提供道路指示牌。督促道路和公共區(qū)域的維護(hù);督促修理、保養(yǎng)和更換大廈的保安設(shè)施、消防設(shè)施、電器設(shè)施、變壓器、煤氣、排水、空調(diào)、電梯和其它設(shè)施。

  To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.

  6.5 保證物業(yè)的合法性,保證有合法權(quán)利出租該物業(yè)。

  七、 乙方責(zé)任:

  7.1 乙方應(yīng)按本租約三、四、五條款規(guī)定交付租金,押金和各項(xiàng)費(fèi)用,如有

  Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3,4 and 5of the Agreement. Non-payment of these charges constitutes a breach of this Agreement.

  7.2 租賃期內(nèi)未經(jīng)甲方同意,乙方不能轉(zhuǎn)租其所租房屋,私自轉(zhuǎn)讓無(wú)效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.

  7.3 乙方應(yīng)愛(ài)護(hù)房屋及其設(shè)備,如因使用不當(dāng)導(dǎo)致?lián)p壞應(yīng)負(fù)責(zé)賠償。

  Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.

  7.4 在房?jī)?nèi)已有的裝飾和設(shè)施之外,乙方如要增加設(shè)備或其他裝修須征得甲

  方同意;租賃期滿必須恢復(fù)原狀如有損壞(正常使用磨損、結(jié)構(gòu)或原有的問(wèn)題除外),并承擔(dān)其費(fèi)用,經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。

  In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.

  7.5 保證賠償由于乙方或乙方有關(guān)系的官員、上司、雇員、客人、來(lái)訪者、

  雇傭工人、代理、執(zhí)照持有者或被邀請(qǐng)人等(統(tǒng)稱(chēng)與乙方相關(guān)的人)的粗心及疏忽造成的房屋的損害或損失,并允許甲方或其代理人在事先通知后進(jìn)入房屋,對(duì)房屋的損失或損害進(jìn)行彌補(bǔ)及修復(fù),在此所發(fā)生的費(fèi)用由乙方負(fù)擔(dān)。

  To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.

  With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done.   leased property to prospective lessors or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.

  7.7 在未經(jīng)甲方書(shū)面同意下,乙方不得擅自設(shè)立、安裝或移動(dòng)設(shè)施及設(shè)備,

  不能擅自設(shè)立隔段,不得擅自對(duì)房屋的結(jié)構(gòu)機(jī)關(guān)改動(dòng)或增加。

  Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

  7.8 租賃房屋過(guò)程中,必須嚴(yán)格遵守中華人民共和國(guó)的有關(guān)法律、細(xì)則、規(guī)

  章及法令的規(guī)定,并嚴(yán)格禁止乙方利用房屋進(jìn)行違犯法律及不道德的行為。

  Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.

  7.9 房屋除供乙方居住之外,未經(jīng)甲方書(shū)面同意,房屋不可作辦公或協(xié)議未

  曾說(shuō)明之用。上述同意不應(yīng)不合理地拒絕。

  To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.

  7.10 未經(jīng)甲方書(shū)面同意,屋外不得擅自放置標(biāo)示板及陳列任何設(shè)施,不允許

  在房外、窗及門(mén)上掛曬衣物以影響房屋外觀面貌,該條件不得被不合理拒絕。

  Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.

  7.11 租客必須遵守物業(yè)條例準(zhǔn)則,如出現(xiàn)糾紛需與業(yè)主來(lái)協(xié)商調(diào)解。

  To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.

  八、 房屋不能居住時(shí)其他事件:

  房屋由于火災(zāi),惡劣天氣,戰(zhàn)爭(zhēng)或其它甲方不可抗拒因素,而不是

  因?yàn)橐曳街苯踊蜷g接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時(shí),乙方從該日起停止支付租金,直至房屋可再被使用及居住時(shí)為止,如該房屋因任何不能歸因于乙方的原因不能正常使用超過(guò)10天,乙方有權(quán)終止合同并無(wú)需承擔(dān)任何責(zé)任,甲方應(yīng)退還剩余部分押金及預(yù)付租金。甲方根據(jù)自己的意愿及經(jīng)濟(jì)、實(shí)際意義等原因,沒(méi)有義務(wù)必須修繕復(fù)原房屋。若此情況發(fā)生,甲方應(yīng)書(shū)面通知乙方,并在作出上述通知的十天之內(nèi)將押金及預(yù)付租金全部退還乙方。

  7.1 乙方應(yīng)按本合同四、五、六條款規(guī)定交付租金、押金和各項(xiàng)費(fèi)用,如有拖欠,則作違約論。

  LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the

  responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.

  (18) 質(zhì)量/數(shù)量異議:對(duì)于質(zhì)量方面的異議,買(mǎi)方必須在貨物抵達(dá)目的港后30天之類(lèi)提出:對(duì)于數(shù)量方面的異議,買(mǎi)方必須在貨物抵達(dá)目的.港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的貨物差異,賣(mài)方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.

  (19) 不可抗力:賣(mài)方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的,不負(fù)責(zé)任:水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣(mài)方不能預(yù)料、無(wú)法控制且不能避免和克服的事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對(duì)方,并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天,雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

  FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.

  (20) 仲裁:因履行本合同所發(fā)生的一切爭(zhēng)議,雙方應(yīng)友好協(xié)商解決,如協(xié)商仍不能解決爭(zhēng)議,則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京),依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān),但仲裁委員會(huì)另有裁定的除外。在仲裁期間,除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

  ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and

  Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.

  (21) 本合同為中英文對(duì)應(yīng),一式兩份,買(mǎi)賣(mài)雙方各執(zhí)一份;合同自賣(mài)方簽字蓋章、買(mǎi)方簽字后生效(傳真件以及掃描具有正版相等法律效應(yīng))。

  Force Majeure:

  9. The Lessor agrees that he shall not increase the rent for a period of 2 years from the date of this contract signing.

  10. The Lessor agrees that upon expiration of this contract at the end of the lease period, the Lessor shall allow the Lessee to continue leasing for another period of___years, on condition that the Lessee has not breached this contract in any way.

  11. The Lessee agrees to maintain the leased building in good condition and not allow it to further deteriorate. Any new structure resulting from modification, addition or repair to the leased building becomes the property of the Lessor, and the Lessee cannot claim any damages. This lease contract is terminated should the leased building be subject to a fire disaster.

  13. The Lessee shall not sub-let the building to any other persons, except with the prior written approval of the Lessor.

  14. For whatever reason, if the Lessee leaves the leased building, the Lessee agrees that he shall not claim any damages or removal costs from the Lessor.

  1. 茲經(jīng)買(mǎi)賣(mài)雙方同意按照以下條款由買(mǎi)方購(gòu)進(jìn),賣(mài)方售出以下商品: This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and conditions as stipulated hereinafter:

  3. 不可抗力:由于不可抗力的緣由發(fā)生在制造、裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣(mài)方延期交貨或不能交貨者,賣(mài)方可免除責(zé)任;在不可抗力發(fā)生后,賣(mài)方須立即電告買(mǎi)方及在14天內(nèi)以空郵方式向買(mǎi)方提供事故發(fā)生的證明文件;在上述情況下,賣(mài)方仍須負(fù)責(zé)采取措施盡快發(fā)貨。

  Force Majeure: The Sellers shall not held responsible for any delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrence mentioned above within fourteen days thereafter. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.

  4. 不可抗力:本合同內(nèi)所述全部或部分貨物,如因不可抗力原因,以致不能履約或不得不延期交貨,賣(mài)方概不負(fù)責(zé)。

  Force Majeure: The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of and force majeure.

  5. 仲裁:凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決,如協(xié)商不能解決,則將分歧提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)行仲裁,仲裁將是終局的,雙方均受其約束,仲裁費(fèi)用由敗訴方承擔(dān)。

  Arbitration: All disputes in connection with the execution

  of this Contract shall be settled through friendly negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party.

The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding

  upon both Buyer and Seller. Unless otherwise awarded by the said arbitration commission, the arbitration fees shall be borne by the losing party.

  7. 賣(mài)方交貨的義務(wù)以在上述交貨日期前收到買(mǎi)方按第九條的規(guī)定開(kāi)出的信用證或預(yù)付款為條件。如按合同條款運(yùn)輸工具由買(mǎi)方選訂,賣(mài)方將在上述日期將貨物備好。

  However, the seller’s obligation to deliver is conditional upon receipt from the Buyer of a letter of credit or advance payment in accordance with Clause 9 of this Contract days before the time of delivery stipulated hereof. If a carrier is selected and booked by the Buyer itself in accordance with the terms of this Contract, the Seller will have the commodity ready for shipment by such time of delivery.

  Insurance: For 110% of invoice value, up to the port of destination, as per the insurance clauses of the People’s Insurance Company of China, excluding SRCC Risks. If additional insurance amount or coverage in required, the Buyershall have the consent of the Seller before shipment, and the additional premium thus incurred shall be borne by the Buyer.

  Mortgage Contract

  According to relevant laws and regulations, based on mutual negotiations, Party

  Article 1 Collateral of Party B

  Article 2 Method of Mortgage Guarantee

  1. When the debt stipulated in the main contract is due, the guarantee responsibility of the loan provided by Party A to Party B yet not repaid by Party B is ascertained according to the scope of mortgage guarantee in Article 3 of this contract; before the debt stipulated in the main contract is due, if Party A conducts recourse on the borrower in advance according to the main contract, Party B shall also take the guarantee responsibility with the collateral.

  2. If Party A and Party B (or borrower) make written agreement of extending duration on the debt duration, interest rate, amount and etc. stipulated in the main contract, or Party A makes an adjustment in the interest rate according to the main contract during the debt duration stipulated in the main contract, it is not necessary to

  get consent from Party B or to inform Party B and Party B agrees to all, then the mortgage guarantee responsibility undertaken by Party B shall not be affected.

  Article 3 Scope of Mortgage Guarantee

  The scope of mortgage guarantee includes the entire principal stipulated in the main contract, interest, overdue interest, penalty interest, compound interest, default fine, compensation for loss, all charges to enforce the mortgage right and realize the creditor’s rights (including but not limited to legal costs, arbitration fees, costs of preservation, announcement fees, assessment fees, appraisal charges, auction costs, travel expenses, communication expenses, counsel fees and etc.) and all other payable expenses of the debtor in the main contract.

  Article 4 Custody of Ownership Certificate and Registration

  of the Collateral

  Party B shall deliver ownership certificate of the collateral to Party A on the date of contract signing, and both parties agree that within days after the contract is signed, Party B shall unconditionally assist Party B with relevant mortgage registration procedures. Ownership certificate of the collateral shall be in the custody of Party A during mortgage period.

  Article 5 When there are other mortgage guarantee, pledge guarantee or guarantees in the creditor’s rights of Party A, if Party A gives up or removes other mortgage guarantee and pledge guarantee or dismisses guarantee responsibility of guarantees, Party B shall still take mortgage guarantee responsibility regarding Party

  A according to articles stipulated in this mortgage contract.

  If Party A suspends granting the loan that has not been granted or collects granted loan in advance based on the articles in the main contract, the guarantee responsibility undertaken by Party B according to this contract shall not be affected.

  Article 6 Cost Bearing

  Relevant costs stipulated in this contract such as assessment fees, insurance premium, appraisal charges, registration fees, custody charges and etc.

  Article 7 Custody of the Collateral

  1. During the mortgage period, the collateral shall be in custody of Party B or the entrusted agent of Party B; Party B and the entrusted agent of Party B shall maintain proper custody of the collateral and have the obligation of repair, maintenance and keeping it intact and shall accept the inspection of Party A at any time.

  The mortgage period refers to the period from the day this contract comes into effect to the expiration day of statute of limitations of creditor’s rights stipulated in the Loan Contract.

  2. During the mortgage period, Party B shall not take any actions that will reduce the value of the collateral; if such actions occur, Party A has the right to demand Party B to stop and recover the value of the collateral, or to provide new collateral accepted by Party A within 2 days after Party A informs Party B. Costs resulted from the recovery of the collateral of providing new collateral shall be undertaken by Party B.

  3. Party B shall purchase property insurance for the collateral during the mortgage period, and the first beneficiary of the property insurance shall be Party A. Insurance documents shall be in custody of Party A. During the mortgage period, if losses within the insurance scope of the collateral occur or the value of the collateral is reduced because of the actions of the third party, insurance compensation or compensation for losses shall be used to liquidate the debt stipulated in the main contract in advance or shall be deposited by Party B in the account appointed by Party A, and Party B shall not use during the mortgage period.

  Article 8 During the mortgage period, if the collateral causes environmental pollution or other damages, Party A alone shall take the responsibility.

  Article 9 During the mortgage period, without written consent from Party A, Party B shall not give away, remove, rent, transfer, remortgage or dispose in other ways the collateral stipulated in this contract.

  Article 10 During the mortgage period, with written consent from Party A, payment received from the transfer of the collateral by Party B shall be used to liquidate the mortgaged creditor’s rights of Party A in advance.

  Article 11 In the expiration of the time limit of the main contract, if the borrower cannot liquidate the debt, Party B has the right to discount the collateral or take priority in compensation with the payment from the auction or selling off of the collateral.

  Article 12 Party A has the right to realize the mortgage right through disposal of the collateral in advance, suspend the grant of loan stipulated in the main contract or collect the principal and interest of the granted loan stipulated in the main contract in advance when one of the following circumstances occur:

  1. There are defaults of the articles or agreement stipulated in the main contract made by the borrower;

  2. There are violations of in the agreed responsibility stipulated in Article 4, Article 7, Article 8, Article 9 and Article 10 of this contract or other actions of defau< or Party B fails to fulfill resposibilities stipulated in this contract.

  3. When Party B is a legal person or other organizations, situations that will affect its ability to liquidate debts or lack of good faith in debt liquidation occur such as suspension of business, suspension or annulment of business license, application or

  being applied for bankruptcy, dissolution and etc.

  4. When Party B is a natural person, death without heirs or devisees occurs;

  5. When Party B is a natural person, heirs or devisees of Party B give up the inheritance or bequest and refuse to fulfill the obligation of repaying loan principal and interest;

  6. Other events that will endanger the realization of creditor’s rights of Party A stipulated in the main contract.

  Article 13 Responsibility for Breach of Contract

  1. If Party B violates Article 7 of the contract through reduction in the value of the collateral resulting from the carelessness in the repair and management of the collateral, or actions of Party B directly endanger the collateral and result in the reduction in the value of the collateral, Party A has the right to demand Part B to immediately stop the violating actions towards the mortgage right of Party A, to demand Party B to provide other collateral accepted by Party A, and to dispose the collateral in advance.

  2. If Party B violates Article 9 of the contract and arbitrarily disposes the collateral, the action is not valid; Party A has the right to demand Part B to immediately stop the violating actions towards the mortgage right of Party A, to demand Party B to provide other collateral accepted by Party A;

  3. If Party B conceals the fact that the collateral is involved in co-ownership, disputes, seal-up, impoundment, rent, existing mortgage, legal priority right with lower mortgage right (including but not limited to priority right of construction project payment) or no ownership or disposal right of Party B and etc., Party A has the right to demand Party B to provide other collateral/ pledge property accepted by Party A;

  4. When any of the above circumstances violating the contract occurs, if Party B fails to provide other collateral according to the requirements of Party A, Party B shall pay Party B a default fine amounting to of the loan principal stipulated in the main contract. If economic losses are caused to Party A, Party B shall compensate Party A for all the economic losses.

  Article 14 Payment from Exercise of the Mortgage Right by Party A Shall be Assigned in Priority of the Following Order:

  1. Payment of charges related to the exercise of the mortgage right;

  2. Liquidation of interest payable by the borrower to Party A;

  3. Liquidation of loan principal, default fine (including penalty interest), compensation and etc. payable by the borrower to Party A;;

  4. Payment of other cost.

  Article 15 Delivery

  Except for other agreement, both parties designate the communication method and contact address stipulated in the contract as the basis, and any written notification delivered to the address shall be considered effective arrival. Party B shall promise that if there is any change in the communication method and contact address, Party A fails to notify the other party about the change in the communication method or contact address according to the agreement resulting in this party not receiving the notification from the other party, this party shall undertake corresponding consequences by itself.

  The signing of personnel authorized by Party B or arranged by Party A for come-and-go files, legal papers or relevant notifications shall be regarded as the arrival to Party B, except that Party B explicitly notifies Party A in the written form that the personnel is not entitled to sign the come-and-go files, legal papers or relevant notifications.

  Article 16 Terms of Compulsory Execution

  1. Party A and Party B both confirm that according to relevant laws and regulations, they have specific understanding of the definition, content, procedure and effect of notarization that gives compulsory execution effect, and through conscious consideration, all parties agree to apply to the notarization authority for notarization and give this contract effect of compulsory execution.

  2. Party B promises to accept compulsory execution according to laws when failing to fulfill or completely fulfill obligation of repayment stipulated in the contract; Party B gives up the right of pleadings.

  3. When Party B fails to fulfill relevant obligations stipulated in the contract, Party A has the right to conduct collection and interpellation to Party B through mail delivery, telephone notification, announcement delivery and etc. Party B shall fulfill relevant obligations stipulated in the contract within three days after the collection and interpellation of Party A. If Party B still fails to fulfill relevant obligations stipulated in the contract, Party A has the right to apply to notarization authority for execution certificate.

  4. Agreed items in advance about the verification contents and methods of the notarization authority before the Execution Certificate is issued: if Party B fails to fulfill or completely fulfill guarantee responsibility, Party A provides the notarization authority with evidence of Party B’s failure of fulfillment. Based on the application of Party A, before the Execution Certificate is issued, the notarization authority verifies the fact of Party B’s failure of fulfillment or proper fulfillment of guarantee responsibility through letters or telephones (faxes) according to the contact address or contact telephone stipulated in the contract before.   3.2借據(jù)或貸款憑證是本合同不可分割的組成部分。借款的實(shí)際放款日和還款日以借款人、貸款人雙方辦理的借據(jù)或憑證上所記載的日期為準(zhǔn)。除日期外,借據(jù)或憑證其他記載事項(xiàng)

  如與本合同不一致的,以本合同為準(zhǔn)。

  3.2 a certificate of indebtedness or a loan voucher is an integral part of this contract. the date of advance and payment due date shall follow the date specified on the certificate of indebtedness or loan voucher . where there is any inconsistency between the stipulations on the certificate of indebtedness or loan voucher and the terms and conditions on this contract except date, the latter shall prevail.

  第四條 借款劃付。在借款人辦妥借款手續(xù)后5個(gè)營(yíng)業(yè)日內(nèi)將全部款項(xiàng)劃至借款人指定的賬戶,劃付次數(shù)、時(shí)間、金額見(jiàn) 36.4 .

  第五條 借款利率和計(jì)息。

  article 5. interest rate of loan and calculation

  5.1借款利率。本合同項(xiàng)下借款利率根據(jù)國(guó)家有關(guān)規(guī)定,確定利率見(jiàn)36。5 .遇利率調(diào)整時(shí),借款期限在1年(含)以下的,執(zhí)行合同利率,不分段計(jì)息;借款期限在1年以上的,實(shí)行分段計(jì)息,從利率調(diào)整的次年1月1日開(kāi)始,按相應(yīng)利率的檔次執(zhí)行新的利率;如借款人未按約定時(shí)間歸還借款本息或未按合同約定用途使用借款,貸款人將按國(guó)家規(guī)定對(duì)借款人計(jì)收罰息,罰息率見(jiàn)36.6.

  5.1 interest rate of loan: the interest rate under this contract is specified in 36.5 in line with relevant rules. in case of change of interest rate, the interest rate stipulated in the contract shall prevail for loans with a life of less than or equal to one year; for loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. from next jan. 1st following the adjustment of interest rate, the new rate shall prevail. in case the borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this contract, the lender shall be entitled to collect default interest in line with relevant rules. the default interest rate is specified in 36.6.

  5.2遇利率調(diào)整時(shí),實(shí)行分段計(jì)息的,貸款人有權(quán)根據(jù)國(guó)家有關(guān)規(guī)定自行調(diào)整,不另行通知借款人。

  5.2 in case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the borrower.

  第六條 還款方式。

  6.1借款人應(yīng)在貸款人開(kāi)設(shè)帳戶,戶名和帳號(hào)見(jiàn) 36.7 ,并保證在每次還款日前足額存入當(dāng)期應(yīng)還款項(xiàng)的存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的.復(fù)利、罰息、違約金、保費(fèi)、損害賠償金及實(shí)現(xiàn)債權(quán)的費(fèi)用(含律師費(fèi)和訴訟費(fèi))如該帳戶資產(chǎn)不足以歸還到期的貸款本息,貸款人有權(quán)從借款人在中國(guó)工商銀行任何分支機(jī)構(gòu)開(kāi)立的任何帳戶劃收。

  6.1 the borrower should open an account with the lender( the account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. the borrower hereby authorizes the lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditors right (including lawyers fee and court expense)in addition to due principal and interest of loan. in case the asset in this account is not enough for repayment of due principal and interest, the lender shall be entitled to collect from any account opened by the borrower with any branch of icbc.

  6.2貸款人與借款人雙方商定,自貸款發(fā)放次月起,借款人按月歸還貸款本息(一次性還本付息除外),還款期數(shù)及還款方式見(jiàn) 36.8 .

  6.2 the borrower shall repay the principal and interest on a monthly basis (except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the borrower and lender. the repayment tenors and type are specified in 36.8.

  6.3借款期間遇利率調(diào)整,如執(zhí)行本合同5.1條實(shí)行分段計(jì)息的,對(duì)借款期限在1年以上的,應(yīng)從利率調(diào)整的次年1月1日開(kāi)始根據(jù)未償還借款余額和剩余還款期數(shù)進(jìn)行調(diào)整,重新計(jì)算還款金額。

  6.3 in case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next jan. 1st following the adjustment of interest rate.

  6.4借款人提前歸還貸款須經(jīng)貸款人書(shū)面同意,,提前歸還部分的利息仍按本合同約定的利率和該部分實(shí)際使用天數(shù)計(jì)算。

  6.4 repayment of the loan ahead of schedule by the borrower shall be subject to written consent from the lender. the interest of prepaid amount should be calculated on the basis of rate specified in this contract and actual days.

  第七條 擔(dān)保方式。本合同的擔(dān)保人及擔(dān)保方式見(jiàn) 36.9.具體約定由本合同中相應(yīng)的擔(dān)保條款確足。

  第八條 借款人的權(quán)利、義務(wù)。

  8.1借款人的權(quán)利:

  按本合同約定的期限和用途取得和使用借款;

  違反借款合同的責(zé)任:

  1、貸款方的責(zé)任:貸款方不按合同規(guī)定及時(shí)貸款,應(yīng)償付違約金。

  2、借款方的責(zé)任:借款方不按合同規(guī)定歸還貸款的,應(yīng)當(dāng)承擔(dān)違約責(zé)任,并加付利息。借款方不按合同規(guī)定使用政策性貸款的,應(yīng)當(dāng)加付利息;貸款方有權(quán)提前收回一部分或全部貸款。

  民間借款合同的注意事項(xiàng):

  隨著市場(chǎng)經(jīng)濟(jì)的發(fā)展,經(jīng)濟(jì)生活較為寬裕,資金使用效益被受到重視,民間債權(quán)債務(wù)關(guān)系日趨增多。那么,怎樣才能較好的保護(hù)民間債權(quán)債務(wù)關(guān)系的合法有序以及當(dāng)事人的合法權(quán)益呢?我們的處理經(jīng)驗(yàn)是 :

  1.訴訟時(shí)效問(wèn)題。需要注意:借款沒(méi)有約定還款期限的,債權(quán)人可以隨時(shí)提出還款主張,不受兩年訴訟時(shí)效的限制,但提出還款主張后兩年內(nèi)沒(méi)有繼續(xù)主張的,視為超過(guò)訴訟時(shí)效,法律不予支持。

  2.原告主張債權(quán)必須提供書(shū)面借據(jù);無(wú)書(shū)面借據(jù)或無(wú)法提供的,應(yīng)提供必要的事實(shí)根據(jù)或與自己無(wú)利害關(guān)系的兩人以上的證人證言,來(lái)支持自己的主張。欠條或者借條在債務(wù)人之手時(shí)一般將被推定為該債務(wù)已經(jīng)清償。

  3.民間借貸的利率可以高于銀行利率,但最高不得超過(guò)銀行利率的4倍(含利率本數(shù)),但一定要明確約定,沒(méi)有約定利息的,視為無(wú)息借款。約定超出銀行同期利率4倍的,超出部分的利息依法不予保護(hù)。出借人不得將利息計(jì)入本金謀取高利,審理中發(fā)現(xiàn)借款人將利息計(jì)入本金計(jì)算復(fù)利的,只返還本金。

  4.出借人明知是為了進(jìn)行非法活動(dòng)而借款的,典型的例子是賭債,其借貸關(guān)系不予保護(hù)。對(duì)雙方的違法借貸行為,可按照有關(guān)法律予以制裁。

  5.行為人以借款人的名義出具的借據(jù)代其借款,借款人不承認(rèn),行為人又不能證明的,由行為人承擔(dān)民事責(zé)任。如借款系用于夫妻共同生活,則由夫妻雙方共同償還。

  6.合伙經(jīng)營(yíng)期間,個(gè)人以合伙組織的名義借款,用于合伙經(jīng)營(yíng)的,由合伙人共同償還;借款人不能證明借款用于合伙經(jīng)營(yíng)的,由借款人償還。

  7.借款的抵押如果涉及不動(dòng)產(chǎn),要到相關(guān)部門(mén)辦理登記手續(xù),才能對(duì)抗第三人。

  8.債權(quán)文書(shū)如辦理可強(qiáng)制執(zhí)行的公證,則可不經(jīng)法院審理,直接向法院申請(qǐng)強(qiáng)制執(zhí)行。

  9.還款期滿后6個(gè)月內(nèi)必須向擔(dān)保人主張權(quán)利,如過(guò)期則擔(dān)保人一般不承擔(dān)擔(dān)保責(zé)任。

  10.為延長(zhǎng)訴訟時(shí)效可以用郵政特快專(zhuān)遞不斷寄送追款函,郵件回執(zhí)單必須明確注明寄送的內(nèi)容,如要求還款1萬(wàn)元的函、要求擔(dān)保人承擔(dān)擔(dān)保責(zé)任的函。

  計(jì)劃提供于甲方參考,同時(shí)就翻譯項(xiàng)目中出現(xiàn)的一些疑問(wèn)提出咨詢。甲方有義務(wù)回答這些咨詢。乙方保證其所交付的譯稿在制作上及工藝上均無(wú)缺陷。關(guān)于譯稿與原文在含義上的一致性,乙方在本合同下為此做全面保證。乙方不保證使用該譯文一定可達(dá)到何種結(jié)果,亦不對(duì)由此產(chǎn)生的直接或間接的結(jié)果負(fù)責(zé),甲方如認(rèn)為所接收的譯文存有缺陷,應(yīng)在確認(rèn)期內(nèi)通知乙方,逾期無(wú)效。乙方對(duì)甲方指出的譯文缺陷,應(yīng)盡快修改完善。如果在甲方指出缺陷后乙方未能在指定的時(shí)間內(nèi)糾正改善或修改后仍然存在嚴(yán)重的錯(cuò)誤,乙方應(yīng)該將翻譯總費(fèi)用的5%退還給甲方。

  九、有限責(zé)任:乙方在本合同下負(fù)有如下有限責(zé)任:

  (1)乙方為甲方提供的`原文資料永久保密,不得擅自將原文資料及其內(nèi)容透露給第三方,也不得擅自將這些機(jī)密資料用作他途;否則甲方保留其訴諸法律的權(quán)利

  (2)乙方保證譯文語(yǔ)句流暢,符合成文語(yǔ)言的語(yǔ)法規(guī)則和習(xí)慣;并盡最大的可能使譯文與原文含義一致。

  十、免責(zé)條款:乙方在本合同下對(duì)下列事件不負(fù)任何直接或連帶責(zé)任:

  (1)因甲方侵犯第三方版權(quán)/專(zhuān)利權(quán)而引起的第三方的一切及任何損失;

  (2)因原文中存有錯(cuò)誤而引起的一切及任何損失;

  (3)因譯文與原文一致而引起的一切及任何損失;

  (4)因甲方收到譯文后自行改寫(xiě)或丟失所引起的一切及任何損失。

  十一、甲方逾期交款,無(wú)正當(dāng)理由者,則按日交納所欠金額的千分之五作為違約金。本合同中如有其它未盡事宜,雙方協(xié)商解決。協(xié)商不成,據(jù)《中華人民共和國(guó)民法典》處理。

  十二、合同終止:乙方交清譯成資料,甲方交清服務(wù)費(fèi)用,確認(rèn)期滿后本合同自行終

  止(第九條除外)。如經(jīng)甲乙雙方協(xié)商,或因一方違約,或因不可抗力影響,雙方同

  意不再繼續(xù)合同的,合同將中止執(zhí)行。

  The day after the signature of this Tenancy Agreement, Party B must pay to Party A one months rental as deposit, totaling On completion of the tenancy period. if Party B does not continue to rent the leased property, Party A must return the deposit in full to Party B (excluding interest) within ten days after the termination or early of the Lease Agreement under the condition that Party B has paid all the utilities fee such as water, electricity, gas and telephone.

  To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.

  6.3 督促物業(yè)公司提供充分的保安、消防工作及安靜清潔的居住環(huán)境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.

  6.4 督促管理公司向乙方提供所應(yīng)提供的服務(wù),如冷水、熱水、電的供應(yīng)及

  各種設(shè)備(包括空調(diào))的正常工作,并提供公共區(qū)域和公共設(shè)施的開(kāi)放,如健身房、兒童房和其他娛樂(lè)場(chǎng)所。督促公共區(qū)域和公共設(shè)施的清潔;公共區(qū)域的照明并提供道路指示牌。督促道路和公共區(qū)域的維護(hù);督促修理、保養(yǎng)和更換大廈的保安設(shè)施、消防設(shè)施、電器設(shè)施、變壓器、煤氣、排水、空調(diào)、電梯和其它設(shè)施。

  To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.

  七、 乙方責(zé)任:

  7.1 乙方應(yīng)按本租約三、四、五條款規(guī)定交付租金,押金和各項(xiàng)費(fèi)用,如有

  Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3,4 and 5of the Agreement. Non-payment of these charges constitutes a breach of this Agreement.

  7.2 租賃期內(nèi)未經(jīng)甲方同意,乙方不能轉(zhuǎn)租其所租房屋,私自轉(zhuǎn)讓無(wú)效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.

  7.3 乙方應(yīng)愛(ài)護(hù)房屋及其設(shè)備,如因使用不當(dāng)導(dǎo)致?lián)p壞應(yīng)負(fù)責(zé)賠償。

  Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.

  7.4 在房?jī)?nèi)已有的裝飾和設(shè)施之外,乙方如要增加設(shè)備或其他裝修須征得甲

  方同意;租賃期滿必須恢復(fù)原狀如有損壞(正常使用磨損、結(jié)構(gòu)或原有的問(wèn)題除外),并承擔(dān)其費(fèi)用,經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。

  In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.

  7.5 保證賠償由于乙方或乙方有關(guān)系的官員、上司、雇員、客人、來(lái)訪者、

  雇傭工人、代理、執(zhí)照持有者或被邀請(qǐng)人等(統(tǒng)稱(chēng)與乙方相關(guān)的人)的粗心及疏忽造成的房屋的損害或損失,并允許甲方或其代理人在事先通知后進(jìn)入房屋,對(duì)房屋的損失或損害進(jìn)行彌補(bǔ)及修復(fù),在此所發(fā)生的費(fèi)用由乙方負(fù)擔(dān)。

  To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.

  leased property to prospective lessors or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.

  7.7 在未經(jīng)甲方書(shū)面同意下,乙方不得擅自設(shè)立、安裝或移動(dòng)設(shè)施及設(shè)備,

  不能擅自設(shè)立隔段,不得擅自對(duì)房屋的結(jié)構(gòu)機(jī)關(guān)改動(dòng)或增加。

  Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

  7.8 租賃房屋過(guò)程中,必須嚴(yán)格遵守中華人民共和國(guó)的有關(guān)法律、細(xì)則、規(guī)

  章及法令的規(guī)定,并嚴(yán)格禁止乙方利用房屋進(jìn)行違犯法律及不道德的行為。

  Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.

  7.9 房屋除供乙方居住之外,未經(jīng)甲方書(shū)面同意,房屋不可作辦公或協(xié)議未

  曾說(shuō)明之用。上述同意不應(yīng)不合理地拒絕。

  To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.

  7.10 未經(jīng)甲方書(shū)面同意,屋外不得擅自放置標(biāo)示板及陳列任何設(shè)施,不允許

  在房外、窗及門(mén)上掛曬衣物以影響房屋外觀面貌,該條件不得被不合理拒絕。

  Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.

  7.11 租客必須遵守物業(yè)條例準(zhǔn)則,如出現(xiàn)糾紛需與業(yè)主來(lái)協(xié)商調(diào)解。

  To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.

  八、 房屋不能居住時(shí)其他事件:

  7.4 在房屋內(nèi)已有的裝飾和設(shè)備之外,乙方如需增加設(shè)備或其它裝飾須征得甲方同意。租賃期滿必須恢復(fù)原狀,并承擔(dān)其費(fèi)用,經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。

  LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the

  responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.

  (18) 質(zhì)量/數(shù)量異議:對(duì)于質(zhì)量方面的異議,買(mǎi)方必須在貨物抵達(dá)目的港后30天之類(lèi)提出:對(duì)于數(shù)量方面的異議,買(mǎi)方必須在貨物抵達(dá)目的.港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的貨物差異,賣(mài)方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.

  (19) 不可抗力:賣(mài)方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的,不負(fù)責(zé)任:水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣(mài)方不能預(yù)料、無(wú)法控制且不能避免和克服的事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對(duì)方,并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天,雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

  FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.

  (20) 仲裁:因履行本合同所發(fā)生的一切爭(zhēng)議,雙方應(yīng)友好協(xié)商解決,如協(xié)商仍不能解決爭(zhēng)議,則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京),依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān),但仲裁委員會(huì)另有裁定的除外。在仲裁期間,除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

  ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and

  Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.

  17、人力不可抗拒因素:

  Force Majeure:

  Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

  Arbitration

  All disputes arising from the execution of this agreement shall be settled through friendly consultations.   9. The Lessor agrees that he shall not increase the rent for a period of 2 years from the date of this contract signing.

  10. The Lessor agrees that upon expiration of this contract at the end of the lease period, the Lessor shall allow the Lessee to continue leasing for another period of___years, on condition that the Lessee has not breached this contract in any way.

  11. The Lessee agrees to maintain the leased building in good condition and not allow it to further deteriorate. Any new structure resulting from modification, addition or repair to the leased building becomes the property of the Lessor, and the Lessee cannot claim any damages. This lease contract is terminated should the leased building be subject to a fire disaster.

  承租人同意將所租建筑保持良好狀態(tài),并不得任其損壞。如果承租人對(duì)出租房屋作任何調(diào)整或增添任何設(shè)施,事先必須征得出租人的書(shū)面同意。房?jī)?nèi)任何增添和裝修過(guò)的設(shè)施都成為出租人的財(cái)產(chǎn),而且承租人不得以此向出租人提出補(bǔ)償要求。如果發(fā)生火災(zāi),本租賃合同立即終止。

  12. The Lessee shall permit the Lessor or his representative to enter the leased building for inspection at appropriate times.

  13. The Lessee shall not sub-let the building to any other persons, except with the prior written approval of the Lessor.

  14. For whatever reason, if the Lessee leaves the leased building, the Lessee agrees that he shall not claim any damages or removal costs from the Lessor.
